Chapter I General Provisions

Article 1The name of this association is "China Science and Technology Policy Research Association". (The Chinese Association of Science of Science and S&T Policy Research)

Article IIThe nature of this association is a national, academic and non-profit social organization voluntarily formed by scientific and technological workers engaged in science, science and technology policy and science and technology management research in China.

Article IIIThe purpose of the Association: adhere to the guidance of Marxism-Leninism, Mao Zedong thought, Deng Xiaoping Theory, the important thought of "three represents", the scientific concept of development and Xi Jinping's thought of socialism with Chinese characteristics in the new era, unite and organize the vast number of scientific and technological workers in this discipline, promote the prosperity and development of this discipline, promote the popularization of knowledge and achievements in this discipline, and promote the growth and improvement of talents in this discipline, to contribute to the construction of socialist material and spiritual civilization and to the accelerated realization of socialist modernization in China.

The Association abides by the Constitution, laws, regulations and national policies, practices the core values of socialism, promotes the spirit of patriotism, abides by social ethics, and consciously strengthens the construction of integrity and self-discipline.

Article 4The Association adheres to the overall leadership of the Communist Party of China, establishes organizations of the Communist Party of China in accordance with the provisions of the Constitution of the Communist Party of China, carries out party activities, and provides necessary conditions for the activities of party organizations.

Article VThe Association accepts the business guidance and supervision and management of the China Association for Science and Technology and the Ministry of Civil Affairs, the registration authority.

ARTICLE VIResidence of the Association: Beijing.

 

Chapter II Business Scope

Article VIIBusiness scope of the Association:

(I) carry out academic exchanges, enliven academic ideas and raise the level of the discipline;

(II) popularize the knowledge of this discipline and promote the achievements of this discipline; carry out continuing education, technical training and youth scientific and technological activities; it is a matter that must be approved by laws, regulations and rules, and shall be carried out after approval in accordance with the law;

(III) compile and publish academic books and periodicals and popular science books in accordance with relevant regulations;

(IV) carry out international academic exchanges and develop contacts and friendly exchanges with relevant foreign academic organizations and scientific and technological workers;

(V), with the approval of relevant government departments, carry out scientific argumentation, put forward policy suggestions, and accept entrustment to undertake special research, consulting services, personnel training and other tasks;

(VI) reflect members' opinions, suggestions and demands to the party and the government, and safeguard members' legitimate rights and interests;

(VII) discover and recommend talents;

(VIII) the establishment of social welfare undertakings in line with the purpose of the Association.

 

Chapter III Members

Article 8Members of the Association are divided into individual members and unit members.

Individual members include: honorary members, ordinary members, student members, foreign members.

Article IXTo apply for membership, the following conditions must be met:

(I) support the articles of association;

(II) the will to join this council;

(III) have a certain influence in the business field of the Association;

Honorary member of the (IV): Serving as a director or executive director for more than two terms, at least 70 years old, making important contributions to the development of the research society, or making important contributions in the field of science and technology policy research, after discussion and approval by the research society council or the standing council, Can be awarded the title of honorary member;

Ordinary members of the (V): scientific and technological personnel with equivalent level of assistant researcher, lecturer, engineer, etc.; undergraduate graduates or self-taught talents from colleges and universities have the same degree, have been engaged in the discipline for more than three years and have practical work experience and a certain academic level; Those who have obtained a master's degree; leading cadres and people from all walks of life who enthusiastically and actively support the work of the research society;

(VI) student members: third-year undergraduate students or above in institutions of higher learning, graduate students majoring in this discipline;

(VII) foreign members: all foreign experts and scholars who have high academic achievements, are friendly to our country, and are willing to communicate and cooperate with the association can be absorbed as foreign members after being discussed and approved by the council or standing council of the association and reported to the competent business unit for the record. Foreign members can obtain preferential access to academic journals and related materials published by the Association, and can be invited to participate in academic conferences hosted by the Association in China and obtain other related services.

The following provisions of the Articles of Association do not include foreign members.

Members of (VIII) units: related to the major of the research society, have a certain number of scientific and technological teams, and are willing to participate in the relevant activities of the research society, and support the work, teaching, production and other enterprises, institutions and relevant academic mass organizations of the research society.

Article 10 Membership procedures:

(I) submit an application for membership;

The (II) was discussed and adopted by the Council;

Membership is (III) issued by the Council or an agency authorized by the Council.

Article 11Members have the following rights

(I) the right to vote, to be elected and to vote;

The (II) has the right to suggest, criticize and supervise the work of the Association;

(III) the priority of obtaining the services of the Association;

(IV) give priority to participating in various academic activities organized by the Association;

(V) preferential access to relevant publications and academic materials of the Association;

Members of (VI) units may request the Association to give priority to providing consulting services or to undertake consulting projects of the Association;

Members of (VII) units may request the Association to assist in organizing activities such as continuing education, consultation and training;

(VIII) voluntary membership, withdrawal freedom.

Article 12Members perform the following obligations:

(I) abide by the articles of association and implement the resolutions of the association;

(II) work entrusted by the Association;

(III) safeguard the legitimate rights and interests of the Association;

(IV) actively participate in the relevant activities organized by the Association and promote the work of the Association;

(V) payment of dues on time;

(VI) reflect the situation and provide relevant information to this Council.

Article 13Members shall notify the Association in writing of their withdrawal and return their membership cards. If a member fails to pay the membership fee or participate in the activities of the group for one year, he will be deemed to withdraw automatically.

Article 14Any serious violation of the Articles of Association shall be removed by voting of the Council or the Standing Council. The membership of a person deprived of political rights shall naturally be canceled.

 

Chapter IV Organizational Bodies and the Generation and Removal of Responsible Persons

Article XVThe highest authority of the Association is the member representative assembly. The powers of the member representative assembly are:

(I) the formulation and amendment of the articles of association;

Election and removal of directors and supervisors by (II);

(III) consider the work report and financial report of the Council;

(IV) review the work report of the board of supervisors;

(V) the formulation and revision of standards for membership fees;

the (VI) determines the termination;

(VII) decide on other important matters.

Article 16The member representative assembly must be attended by more than 2/3 of the member representatives before it can be convened, and its resolution must be passed by more than half of the member representatives present before it can take effect.

Article 17Members of Congress each five years. If it is necessary to advance or postpone the term change due to special circumstances, it shall be approved by the board of directors, submitted to the competent business unit for review and approved by the association registration management authority. However, the maximum extension shall not exceed one year.

Article 18The board of directors is the executive body of the member representative assembly. It leads the daily work of the member representative assembly when the member representative assembly is not in session and is responsible to the member representative assembly.

Article 19The Council's powers are:

(I) implement the resolutions of the member representative assembly;

(II) elect and recall the chairman, vice-chairman, secretary-general and executive directors;

(III) preparations for the convening of a representative assembly of members;

(IV) report the work and financial situation to the member congress;

(V) determine the membership's absorption or delisting;

(VI) decide on the establishment, change and termination of offices, branches, representative offices and entities;

(VII) decide on the appointment of deputy secretaries-general and principal responsible persons of various institutions;

(VIII) lead the work of the institutions of the Association;

(IX) formulate internal management system;

(X) decide on other important matters.

Article 20The Council can only be convened if more than 2/3 of the members are present, and its resolution can only take effect if it is approved by more than 2/3 of the members present.

Article 21The Council shall meet at least once a year; in exceptional circumstances, it may also be convened by correspondence.

Article 22The Association shall establish a standing Council, which shall be elected by the Council. When the Council is not in session, it shall exercise the functions and powers of Article 19, the first and 3. 5. 6. 7. 8., and shall be responsible to the Council (the number of standing directors shall not exceed 1/3 of the number of directors).

Article 23The standing council can only be convened if more than 2/3 of the standing directors are present, and its resolution can only take effect if it is approved by more than 2/3 of the standing directors present.

Article 24The Standing Council shall hold a meeting at least once every six months. In special cases, the meeting may also be held in the form of communication.

Article 25The Council shall have a board of supervisors, whose term of office shall be the same as that of the directors, and may be re-elected upon expiration. The board of supervisors is composed of 7 supervisors. The board of supervisors has 1 supervisor and 2 deputy supervisors, who are elected by the board of supervisors. The Supervisors and Deputy Supervisors shall be no more than 70 years old and shall serve no more than two consecutive terms. The Council accepts and supports the supervision and guidance of the appointed supervisors.

Article 26Election and Removal of Supervisors:

The (I) shall be elected by the Congress of Members;

The removal of (II) supervisors shall be in accordance with the procedure for their creation.

Article 27The chairman, vice-chairman, secretary-general, directors, executive directors, heads of branches and full-time staff of the society shall not concurrently serve as supervisors.

Article 28The board of supervisors shall exercise the following functions and powers:

(I) attend the meetings of the Council and the Standing Council as non-voting delegates, and raise questions or suggestions on the matters decided;

(II) supervise the performance of the duties of the directors, executive directors and persons in charge of the association, and propose the removal of persons who seriously violate the constitution of the association or the resolution of the member representative assembly;

(III) examine the financial reports of the Association, report the work of the Board of Supervisors and put forward proposals to the Members' Congress;

(IV) the responsible persons, directors, executive directors, and financial management personnel who harm the interests of the Association, and require them to correct them in a timely manner;

(V) report the problems existing in the work of the association to the competent business unit, industry management department, registration management authority, tax and accounting department;

(VI) decide on other matters that should be considered by the board of supervisors.

The board of supervisors shall hold a meeting at least once every six months. The meeting of the board of supervisors shall be held only when more than 2/3 of the supervisors are present. The resolution of the board of supervisors shall be valid only when more than 1/2 of the supervisors present at the meeting are passed.

Article 29Supervisors shall abide by relevant laws and regulations and the Articles of Association of the Association, and perform their duties faithfully and diligently.

Article 30The board of supervisors may investigate the activities carried out by the association; if necessary, it may hire an accounting firm to assist it in its work. The expenses necessary for the board of supervisors to exercise its functions and powers shall be borne by the Association.

Article 31The chairman, vice-chairman and secretary-general of the association must meet the following conditions:

(I) adherence to the Party's line, principles and policies, and good political quality;

The (II) has a great influence in the business field of the Association;

The maximum age of the (III) shall not exceed 70 years old, and the Secretary-General shall be full-time.

(IV) good health, can adhere to the normal work;

(V) has not been deprived of political rights of criminal punishment;

(VI) have full capacity for civil conduct.

Article 32If the chairman, vice-chairman, and secretary-general of the association exceed the maximum age of appointment, they must be approved by the board of directors, reported to the competent business unit for review, and approved by the association registration management agency before they can serve.

Article 33The term of office of the chairman, vice-chairman and secretary-general of the association is 5 years, and the term of office shall not exceed two terms. If the term of office needs to be extended due to special circumstances, it must be approved by more than two-thirds of the member representatives of the member representative assembly, reported to the competent business unit for review and approved by the association registration management agency before serving.

Article 34The chairman of the Council shall be the legal representative. Due to special circumstances, the vice-chairman or secretary-general may serve as the legal representative after being entrusted by the chairman of the board of directors and approved by the board of directors, submitted to the competent business unit for examination and approved by the association registration authority. The legal representative shall sign relevant important documents on behalf of the Association. The legal representative of the Association shall not concurrently serve as the legal representative of other organizations.

Article 35The Chairman of the Council shall exercise the following powers:

(I) convene and preside over the Council or the Standing Council;

(II) inspect the implementation of the resolutions of the member representative assembly, the council and the standing council.

Article 36The Secretary-General of the Association shall exercise the following powers:

(I) preside over the daily work of the office and organize the implementation of the annual work plan;

(II) coordinate the work of branches, representative offices and entities;

The (III) nominates the deputy secretary-general and the principal persons in charge of various offices, branches, representative offices and entities, and submit them to the council or the standing council for decision;

(IV) decide on the employment of full-time staff of offices, representative offices and entities;

(V) handle other daily affairs.

Chapter V Asset Management and Use Principles

Article 37Sources of funding:

(I) funding from the China Association for Science and Technology;

(II) membership dues;

(III) donations;

(IV) government funding;

(V) income from activities and services provided within the approved scope of operations;

(VI) interest;

(VII) other lawful income.

Article 38The Association collects membership dues in accordance with the relevant provisions of the State.

Article 39The funds of the Association must be used for the scope of business and the development of the cause as stipulated in the Articles of Association, and shall not be distributed among the members.

Article 40The Association establishes a strict financial management system to ensure that the accounting information is legal, true, accurate and complete.

Article 41The Association is equipped with professionally qualified accountants. An accountant may not concurrently act as a cashier. Accounting personnel must carry out accounting and carry out accounting supervision. When an accountant moves or leaves a job, he or she must clear the handover procedures with the receiver.

Article 42The asset management of the Association must implement the financial management system prescribed by the state and accept the supervision of the member representative assembly and the financial department. If the source of assets belongs to the state appropriation or social donation or support, it must be subject to the supervision of the auditing agency and the relevant information must be announced to the public in an appropriate manner.

Article 43A financial audit must be conducted before the change of term or replacement of the legal representative of the Association.

Article 44No unit or individual may misappropriate, divide or misappropriate the assets of the Association.

Article 45The salary, insurance and welfare benefits of the full-time staff of the Association shall be implemented with reference to the relevant provisions of the state on public institutions.

 

Chapter VI Procedures for Amending the Articles of Association

Article 46Amendments to the articles of association of the association shall be submitted to the member representative assembly for deliberation after being approved by the board of directors.

Article 47The amended articles of association of the Association shall come into force after being examined and approved by the competent business unit within 15 days after being adopted by the members' Congress, and submitted to the administrative organ of association registration for approval.

 

Chapter VII Termination Procedure and Disposal of Property after Termination

Article 48If the association completes its purpose or dissolves itself or needs to be canceled due to separation, merger and other reasons, the board of directors or the standing board of directors shall propose a termination motion.

Article 49The termination agreement of the Association shall be approved by the member representative assembly and submitted to the competent business unit for review and approval.

Article 50Before the termination of the Association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During liquidation, no activities other than liquidation shall be carried out.

Article 51The Association shall be terminated after the registration administration of the association has gone through the formalities of cancellation of registration.

Article 52The remaining property after the termination of the association shall be used for the development of undertakings related to the purpose of the association under the supervision of the competent business unit and the registration and management authority of the association and in accordance with the relevant provisions of the state.

 

Chapter VIII Supplementary Provisions

Article 53The Articles of Association were adopted by the vote of the First Member Congress of the Eighth Session on November 21, 2020.

Article 54The authority to interpret these Articles of Association shall be the Council of the Association.

Article 55The Articles of Association shall come into force on the date of approval by the administrative organ of association registration.
